Thank you for choosing Neoteric Brands, Inc. Before placing an order, please take a moment to review our terms and conditions to ensure a smooth and satisfactory experience.

1. Ordering Process

When placing an order with Neoteric Brands, Inc., you can expect a seamless and efficient process. Simply select the desired quantity and packaging options, and provide us with your custom design specifications. Our team will work closely with you to create unique packaging that aligns with your brand identity.

Our role in the ordering process is limited to manufacturing, packaging, and fulfilling your custom products. We do not provide legal, regulatory, nutritional, or compliance advice, nor do we act as your insurance provider.

2. Order Quantity

We understand that each business has different needs, which is why we offer low minimums for our custom products. Whether you require a small quantity for a special event or a larger order for ongoing promotions, we are here to accommodate your requirements. Our minimum order quantity is 150 units per design.

You acknowledge and accept that we have a quantity variance of +/- 100 units on orders below 1,000 units. Orders over 1,000 units have a quantity variance of +/- 5%. Should production yield fewer units than what you've ordered, we shall offer a credit on a future order. Should more units be produced than ordered, you'll be given the option to purchase the surplus. You are under no obligation to purchase the surplus.

3. Custom Design

At Neoteric Brands, Inc., we take pride in our ability to create fully custom-designed packaging for your products. Our design team will collaborate with you to bring your vision to life. From incorporating your logo and brand colors to adding unique graphics and messaging, we ensure that your packaging stands out and leaves a lasting impression.

You acknowledge and agree that once you provide written approval of your design, we will proceed to print your packaging exactly as approved. After that point, we are not responsible for any errors, omissions, or content-related concerns. While our team conducts multiple internal reviews and flags potential issues for your attention prior to final approval, the final responsibility for accuracy rests with you.

Client Logo Usage:
By placing an order, you grant Neoteric Brands, Inc. the right to use your logo for marketing and promotional purposes, including but not limited to our website, social media channels, and marketing materials.

4. Quality

We are committed to delivering high-quality products to our customers. All of our products are made with premium materials and undergo rigorous quality control measures to ensure they meet the highest standards.

All products provided by Neoteric Brands, Inc. are packaged in an SQF-certified facility in Georgetown, Texas. We ensure that the finished product conforms to the regulatory requirements expressly stated on the packaging as approved by you.

You acknowledge and accept that our custom packaging is produced with a 5% technical quality tolerance, allowing for minor variations related to alignment, artwork, color, and cut on up to 5% of the products.

4.1 Consumable Product Characteristics

Certain consumable products—including baked goods, treats, and other natural or minimally preserved items—may be susceptible to mold growth under certain conditions. Mold may occur due to factors including, but not limited to, moisture exposure, temperature fluctuations, improper storage, extended shelf time, package compromise, or post-delivery handling.

You acknowledge and agree that the presence of mold does not, by itself, constitute evidence of a manufacturing or packaging defect.

Neoteric Brands, Inc. warrants only that, at the time the products leave our possession, they are produced and packaged in accordance with applicable food safety standards and within our internal quality control procedures.

Responsibility for storage, handling, transportation, resale, and end-user interaction with the product transfers to you immediately upon delivery or shipment handoff.

Without limiting the foregoing, Neoteric Brands, Inc. shall not be responsible for mold or spoilage arising from:

improper storage conditions (including exposure to heat, humidity, or temperature extremes);

package opening, resealing, or compromise;

storage in non-climate-controlled environments (including garages, warehouses, vehicles, or back-of-house areas);

extended holding periods or prolonged storage beyond intended use;

handling or use by you, your customers, or end users.

4.2 Mold and Spoilage-Related Concerns

If you believe a product may be affected by mold or spoilage, you must notify Neoteric Brands, Inc. promptly after discovery and provide reasonable supporting information. We reserve the right to review relevant production records and available information to assess the concern.

Mold or spoilage that arises from post-delivery storage, handling, or environmental conditions remains the responsibility of the customer.

4.3 Limited Remedy

If Neoteric Brands, Inc. determines, in its reasonable discretion, that mold resulted directly from a manufacturing or packaging defect attributable to us, our obligation may, at our option, be limited to:

replacement of the affected units, or

a credit toward a future order.

Under no circumstances shall Neoteric Brands, Inc. be responsible for product recalls, third-party reimbursements, lost sales, reputational harm, or consequential damages related to mold or spoilage.

5. Shipping and Delivery

Due to the custom nature of our products, we cannot guarantee an exact shipment or arrival date. We typically turn orders around in 6 weeks. For orders over 1,000 units, we can sometimes accommodate an expedited timeline.

Once your custom products are ready, we will carefully package them and arrange for prompt and reliable shipping. Please be aware that once your order is transferred to our shipping partners, the chain of custody is governed by their policies and procedures. Any issues or discrepancies that arise during shipping fall under the responsibility of these partners.

Shipping costs may vary based on destination and order quantity.

6. Returns and Refunds

Due to the custom and consumable nature of our products, we do not entertain returns or provide refunds under normal circumstances. However, in the event of an order being damaged or defective upon arrival, we will conduct a thorough investigation and endeavor to find a suitable resolution if feasible.

Should you encounter any issues with your order or if it arrives in a damaged condition, kindly reach out to our customer service team within 24 hours of receiving the package, and we will make every effort to assist you.

Mold-related claims are governed exclusively by Section 4 and do not entitle you to refunds or returns absent a confirmed manufacturing defect as determined by Neoteric Brands, Inc.

Any concerns regarding product condition, quality, or conformity must be reported to Neoteric Brands, Inc. promptly after discovery and no later than thirty (30) days after delivery.

Failure to provide timely notice may limit our ability to evaluate the issue and may affect eligibility for replacement, credit, or other consideration.

This notice requirement applies to all products, including off-the-shelf and custom items.

7. Regulatory Compliance & Insurance Responsibilities

7.1 Limited Scope of Engagement

Neoteric Brands, Inc.’s role is limited exclusively to the manufacturing, packaging, and fulfillment of your products. Our obligations extend only to producing the product according to your approved specifications and ensuring that the finished product meets the labeling and regulatory requirements expressly stated on the packaging.

We do not provide legal, regulatory, safety, compliance, or nutritional advice of any kind.

7.2 No State Registration Services

Certain products—such as dog treats and other consumables—may require registration, licensing, or approval in specific states before being sold, distributed, or gifted.

You acknowledge and agree that:

Neoteric Brands, Inc. does not file, manage, or maintain any state-level product registrations for any products manufactured for clients.
We do not guarantee that any product we manufacture will meet the unique regulatory requirements of any particular state.
You are solely responsible for researching, preparing, filing, and maintaining all required registrations or regulatory filings.

7.3 Client Insurance Obligations

You are solely responsible for maintaining appropriate insurance coverage for your business operations, including but not limited to:

product liability insurance,
commercial general liability insurance,
any insurance required by retailers, distributors, or event organizers.

Neoteric Brands, Inc. does not assume responsibility for your insurance and does not add clients as additional insureds under any policy.

7.4 Post-Delivery Responsibilities

After products leave our possession, you assume all responsibility for:

storage, handling, and distribution;
compliance with local, state, and federal regulations;
any claims, recalls, or regulatory actions related to your resale or distribution of the products.

8. Privacy and Security

At Neoteric Brands, Inc., we value your privacy and take the security of your personal information seriously. We adhere to strict data protection policies and use secure payment gateways to ensure that your information is safe and confidential.

10. Intellectual Property

Unless otherwise agreed in writing, all formulas, processes, packaging formats, and manufacturing methods used in the production of your order remain the exclusive property of Neoteric Brands, Inc.

Any brand assets you provide to us—including logos, trademarks, packaging designs, and other intellectual property—remain your property. We will use such assets solely for the purpose of fulfilling your order and related promotional use as outlined in Section 3.

You agree not to reverse engineer or attempt to replicate any proprietary product format, process, or formula provided by Neoteric Brands, Inc.

11. Indemnification

You agree to indemnify, defend, and hold harmless Neoteric Brands, Inc., its affiliates, and its officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to:

your branding, product claims, labeling, or marketing content;
your breach of these Terms and Conditions;
your use, resale, or distribution of products;
your failure to comply with any federal, state, or local registration, regulatory, or insurance requirements.

This indemnity obligation does not apply in cases of gross negligence or willful misconduct by Neoteric Brands, Inc.

12. Limitation of Liability

To the fullest extent permitted by law, Neoteric Brands, Inc.’s total liability under these Terms and Conditions shall not exceed the total amount paid by you for the specific order giving rise to the claim.

For the avoidance of doubt, mold, spoilage, or degradation occurring after delivery shall be deemed post-delivery events and subject to the liability limitations and exclusions set forth herein.

In no event shall Neoteric Brands, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or business interruption.

13. Agreement to Terms

By placing an order with Neoteric Brands, Inc., you acknowledge and agree to abide by these Terms and Conditions.
